1. Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Qoolize LTD (“Qoolline,” “we,” “us,” or “our”), a company registered in the United Kingdom, governing your access to and use of the Qoolline mobile applications (iOS and Android), the website at qoolline.com, and all related services (collectively, the “Services”).

BY ACCESSING OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, OUR PRIVACY POLICY, AND OUR COOKIE POLICY. IF YOU DO NOT AGREE TO ANY OF THESE TERMS, YOU MUST NOT ACCESS OR USE OUR SERVICES.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email, in-app notification, or by posting updated Terms on our website. Your continued use of the Services after such notification constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

2. Eligibility and Contractual Capacity

2.1. Age Requirements

Our Services are available to users aged 16 years and above. The following age-related rules apply:

·       Users aged 18 and over: You may create an account and enter into these Terms independently. Under the laws of England and Wales (and most other jurisdictions), persons aged 18 and over have full contractual capacity.

·       Users aged 16 to 17: You may use our Services only if you have obtained the express prior consent of your parent or legal guardian, who agrees to be bound by these Terms on your behalf and accepts full responsibility for your use of the Services and any purchases made through your account. By creating an account as a user aged 16 or 17, you confirm that you have obtained such consent.

·       Users under 16: Our Services are not available to persons under the age of 16.

Please note that the minimum age for consent to personal data processing under the EU GDPR and UK GDPR is 16. If you are under 16, we are unable to lawfully process your personal data and you must not use our Services.

2.2 Legal Capacity and Global Availability

By creating an account, you represent and warrant that: (a) you meet the applicable age requirements set out in Section 2.1; (b) you have the legal capacity to enter into a binding agreement; (c) you are not a person barred from receiving our Services under applicable law; and (d) all information you provide is accurate, current, and complete.

Our Services are available globally, subject to applicable local laws and regulations. You are solely responsible for ensuring that your use of the Services complies with all laws applicable to you in your jurisdiction.

3. Account Registration and Security

3.1 Account Creation

You must create an account to purchase eSIM plans or access certain features of our Services. Account creation requires a valid email address. Each email address may be associated with only one account. An individual may create additional accounts using different email addresses; however, all accounts are subject to these Terms and our fraud detection measures.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You agree to notify us immediately at [email protected] if you suspect any unauthorised access to or use of your account.

3.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. We reserve the right to suspend or terminate accounts that contain inaccurate or fraudulent information.

4. eSIM Services

4.1 Nature of Services

Qoolline is a reseller of eSIM profiles sourced from third-party wholesale providers. We provide a platform that enables users to purchase, install, manage, and top up eSIM data plans for use while travelling or in supported destinations. We currently offer coverage in over 175 destinations worldwide.

4.2 Wholesale Providers

Our eSIM profiles are sourced from third-party wholesale providers whose identity may change from time to time at our sole discretion. We do not own or operate the underlying mobile network infrastructure, and the quality, speed, and availability of network connectivity are ultimately determined by the mobile network operators in your destination.

4.3 Service Availability and Limitations

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

       Network connectivity, coverage, speed, and quality may vary based on location, network congestion, device compatibility, environmental factors, and other conditions beyond our control.

       Service interruptions, outages, and degradation may occur without prior notice due to factors including, but not limited to, network maintenance, technical failures, natural disasters, government actions, and wholesale provider changes.

       We do not guarantee uninterrupted, error-free, or continuous network service in any destination.

       eSIM compatibility depends on your device hardware and software. It is your responsibility to verify that your device supports eSIM technology before making a purchase.

       Data speeds, including any references to 4G/LTE or 5G, represent the maximum capability of the network and are not guaranteed.

4.4 Fair Usage

All eSIM data plans are subject to fair usage policies. We reserve the right to throttle, restrict, or terminate service for any account engaging in abusive, excessive, or unauthorized usage, including but not limited to reselling, commercial redistribution, or use in violation of applicable telecommunications regulations.

5. Purchases and Payments

5.1 Pricing

All prices are displayed in the currency indicated at the time of purchase and are inclusive of any applicable taxes unless otherwise stated. We reserve the right to change pricing at any time without prior notice. Price changes do not affect previously completed transactions.

5.2 Payment Methods

We accept payments via the following methods: Stripe (credit/debit cards), PayPal, Apple Pay, Google Pay, and Alipay. All payments are processed by these third-party payment processors. We do not store, process, or have access to your full payment card information. Payment processing is subject to the terms and conditions and privacy policies of the respective payment processor.

5.3 QoolCash Credits

QoolCash credits earned through referral programmes or promotions may be applied toward future purchases. QoolCash credits have no cash value, are non-transferable (except as part of the referral programme mechanics), and may expire or be modified at our discretion upon providing at least thirty (30) days' prior notice to you.. We reserve the right to adjust, revoke, or modify the QoolCash programme at any time.

5.4 Order Confirmation

A purchase is confirmed once payment has been successfully processed and you receive a confirmation (via email or in-app notification). Until confirmation is issued, no contract of sale exists.

6. Refunds and Cancellations

6.1 Digital Product Nature

eSIM profiles are digital products that are delivered electronically and activated immediately upon purchase or installation. Once an eSIM profile has been successfully delivered to your device and/or activated, it constitutes the full performance of our contractual obligation. In accordance with applicable consumer protection laws — including Regulation 28(1)(b) of the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and Article 16(m) of EU Consumer Rights Directive 2011/83/EU — the statutory right of withdrawal does not apply to digital content which has begun to be performed with the consumer's prior express consent and acknowledgement that they thereby lose their right of withdrawal. By completing a purchase, you expressly consent to the immediate delivery of the eSIM profile and acknowledge that the right of withdrawal is thereby waived upon delivery and/or activation.

6.2 Refund Policy

Refund requests are evaluated on a case-by-case basis. We may issue refunds in the following circumstances:

       The eSIM profile was not delivered due to a technical error on our platform.

       The eSIM profile is demonstrably non-functional and we are unable to resolve the issue.

       Other circumstances at our sole discretion.

Refunds will not be granted for issues arising from device incompatibility (where eSIM support was not verified by the user), user error during installation, network conditions beyond our control, partial data usage, or change of travel plans.

6.3 Chargebacks and Disputes

If you believe a charge is incorrect, please contact us at [email protected] before initiating a chargeback with your payment provider. Unauthorised or fraudulent chargebacks may result in account suspension or termination and may be subject to collection efforts.

7. Fraud Detection and Prevention

We actively monitor transactions and account activities for signs of fraud, abuse, and misuse. Our fraud detection measures may include analysis of purchasing patterns, device fingerprinting, IP address analysis, and other proprietary and third-party tools.

We reserve the right, at our sole discretion and without prior notice, to:

       Delay, hold, or cancel suspicious transactions.

       Require additional verification for transactions deemed high-risk.

       Suspend or permanently terminate accounts suspected of fraudulent activity.

       Report suspected fraud to relevant law enforcement authorities.

       Recover any losses resulting from fraudulent transactions, including through legal action.

You agree to cooperate with our fraud investigation efforts. Failure to provide requested verification information may result in transaction cancellation or account suspension.

8. Prohibited Uses

You agree not to use the Services for any purpose that is illegal, unauthorised, or prohibited by these Terms. Prohibited activities include, but are not limited to:

       Reselling, sublicensing, or commercially redistributing eSIM profiles or data plans.

       Creating multiple accounts for the purpose of exploiting promotions, referral programmes, or circumventing fraud detection or account restrictions.

       Using the Services for any unlawful, fraudulent, or deceptive purpose.

       Interfering with, disrupting, or attempting to gain unauthorised access to the Services, servers, or networks.

       Reverse engineering, decompiling, or disassembling any part of the Services.

       Using automated means (bots, scrapers, etc.) to access or interact with the Services without our prior written consent.

       Violating applicable telecommunications regulations in any jurisdiction.

       Engaging in bulk purchasing or stockpiling of eSIM profiles outside normal personal usage patterns.

       Impersonating any person or entity, or misrepresenting your affiliation with any person or entity.

9. Intellectual Property

All content, trademarks, service marks, trade names, logos, designs, software, and other intellectual property displayed on or through the Services are the property of Qoolize LTD or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for personal, non-commercial purposes in accordance with these Terms.

You may not copy, modify, distribute, transmit, display, perform, reproduce, publish, licence, create derivative works from, transfer, or sell any content, information, software, or services obtained from or through the Services without our prior written consent.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT:

       The accuracy, reliability, completeness, or timeliness of any content or information provided through the Services.

       The uninterrupted, timely, secure, or error-free operation of the Services.

       The quality, speed, coverage, or availability of network connectivity provided through eSIM profiles.

       The suitability of the Services for your specific requirements.

       The results that may be obtained from the use of the Services.

Network connectivity is provided by third-party mobile network operators and wholesale providers. We are a reseller and do not operate, control, or guarantee any aspect of the underlying network infrastructure.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

       IN NO EVENT SHALL QOOLIZE LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICES.

       OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY POUNDS STERLING (£50.00).

       THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Qoolize LTD, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

       Your use of (or inability to use) the Services.

       Your violation of these Terms or any applicable law.

       Your violation of the rights of any third party.

       Any content you submit, post, or transmit through the Services.

       Any fraudulent, abusive, or illegal activity associated with your account.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws of your jurisdiction provide otherwise.

13.3 Consumer Rights

Nothing in these Terms affects your statutory rights as a consumer under the laws of your jurisdiction. If you are an EU or UK consumer, you may also be entitled to bring proceedings in the courts of the EU Member State or UK country in which you are domiciled.

13.4 US Users

If you are a US resident, you and Qoolize LTD agree that any disputes shall first be attempted to be resolved through good-faith negotiation for a period of thirty (30) days. If resolution is not reached, either party may pursue legal remedies available under applicable law.

13.5 EU Online Dispute Resolution (ODR)

If you are a consumer residing in the European Union, in accordance with EU Regulation No. 524/2013, you have the right to submit disputes arising from online contracts to the European Commission’s Online Dispute Resolution (ODR) platform. The ODR platform can be accessed at: https://ec.europa.eu/consumers/odr/.

14. Termination

We may suspend or terminate your account and access to the Services at any time, by providing at least thirty (30) days' prior notice. However, we reserve the right to suspend or terminate your account immediately and without prior notice in cases of:

       Breach of these Terms.

       Suspected fraudulent, abusive, or illegal activity.

       Failure to pay for purchased services.

       Inactivity for an extended period (as determined by us).

       Requests by law enforcement or government agencies.

You may terminate your account at any time by contacting us at [email protected]. Upon termination, your right to use the Services ceases immediately. Termination does not entitle you to a refund for any unused eSIM data or QoolCash credits. Sections of these Terms that by their nature should survive termination shall continue in full force and effect.

15. Force Majeure

We shall not be liable for any failure or delay in performance of our obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government actions or sanctions, telecommunications failures, internet outages, power failures, third-party service provider failures, network operator issues, or wholesale provider disruptions.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such finding shall not affect the validity of the remaining provisions, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

17. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy (and any other documents expressly referred to herein), constitute the entire agreement between you and Qoolize LTD regarding your use of the Services. These Terms supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, relating to the subject matter hereof.

18. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law.

19. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of Qoolize LTD.
